Welcome to CoachingSriLanka.com, operated by CoachingSriLanka Ltd. ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of our premium marketplace, booking platform, and associated services (collectively, the "Services").

By registering an account, booking a session, or accessing our platform, you explicitly agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy (AUP). If you do not agree to these Terms, you may not access or use the Services.

1. Nature of the Platform

CoachingSriLanka.com acts as an elite B2B2C digital marketplace that connects high-net-worth clients, corporate entities, and individuals ("Clients") with independent, third-party executive coaches, wellness mentors, and retreat organizers ("Professionals").

• Independent Contractors: We do not employ the Professionals listed on our platform. They operate as independent contractors. While we strictly vet credentials prior to listing, we do not guarantee the specific outcomes of any coaching session or retreat.
• Dispute Resolution: Any disputes regarding the quality of coaching, scheduling conflicts, or retreat logistics must be resolved primarily between the Client and the Professional, though our support team will mediate where necessary.

2. Account Registration and Security

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

You are solely responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities.

3. Payments, Subscriptions, and Refund Policy

As a premium platform, we utilize secure, PCI-compliant third-party payment processors (e.g., Stripe) to handle all financial transactions.

• Coach Subscriptions: Professionals are billed on a recurring basis (monthly or annually) for platform access, CRM usage, and premium directory placement. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• Client Bookings: Payments for individual sessions or retreat deposits are processed at the time of booking. Funds may be held in escrow and released to the Professional upon successful completion of the service.
• Refund Policy (Clients): Cancellations made more than 48 hours before a scheduled 1-on-1 session are eligible for a full refund. Cancellations made within 48 hours are non-refundable. Retreat refund policies vary by specific Organizer and are displayed clearly on the booking page.
• Refund Policy (Professionals): Platform membership fees are non-refundable for the active billing cycle.

4. Intellectual Property Rights

The platform, including its original content, features, functionality, and design aesthetic, is owned by CoachingSriLanka Ltd. and is protected by international copyright, trademark, and intellectual property laws.

Professionals retain full ownership of their proprietary coaching materials, frameworks, and content uploaded to their profiles, but grant us a worldwide, royalty-free license to display this content on the platform for marketing and operational purposes.

5. Disclaimer of Warranties and Medical Advice

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Services.

6. Limitation of Liability

In no event shall CoachingSriLanka Ltd., its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) any outcomes resulting from coaching sessions or retreats booked through the platform.

7. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions. Any legal actions or proceedings arising out of these Terms shall be brought exclusively in the competent courts located in Colombo, Sri Lanka.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect by sending a transactional email to the address associated with your account.
